Terms and Conditions

By using As is Where is (the "Platform"), the Seller or Representative of the seller (the "Customer") agrees to the following Terms and Conditions and Customer Privacy Policy set forth by As is Where is, Inc. (the "Corporation").

1 . Initial Terms and Conditions

 These terms and conditions, as may be unilaterally amended from time to time by the Corporation, apply to all of the Corporation’s direct services made available online or in person. By accessing, browsing, and using the Company’s website, the Customer acknowledges to have read, understood, and agreed to the terms and conditions set out below and any amendments thereto.

These terms and conditions (the "Agreement") represent an agreement between As is Where is Inc (the "Buyer") and Owner of the property or representative of the owner as Authorized In-fact (the "Seller") for the acquisition of all assets and liabilities related to As is Where is, including but not limited to its intellectual property, technology, customer data, and contracts (collectively referred to as the "Acquisition").

2. Limitations on Service and Liability
The Customer acknowledges and accepts that the services provided by As is Where is are subject to limitations, and the Corporation shall not be held liable for any issues beyond its control.
The Corporation does not guarantee the availability, accuracy, or completeness of the information provided on the Platform.

3. Purchase Price and Payment

The Buyer agrees to pay the Seller the total purchase price of [Purchase Price Amount] PHP for the Acquisition.

The Buyer and Seller will work together to determine any adjustments to the purchase price based on the final valuation of As is Where is as of the closing date.

4. Closing
The closing of the Acquisition shall take place on (the "Closing Date") at a location or virtually as agreed upon by both parties.
On the Closing Date, the Seller shall transfer ownership and control of all As is Where is assets and liabilities to the Buyer, and the Buyer shall make the agreed-upon payment.

5. Representations and Warranties
a. Seller's Representations and Warranties:
The Seller represents and warrants that they have full legal authority to sell the Acquisition and that there are no undisclosed liabilities or encumbrances related to As is Where is.
The Seller further represents and warrants that, to the best of their knowledge, all information provided to the Buyer regarding As is Where is, including financial statements, contracts, and customer data, is accurate and complete.
 b. Buyer's Representations and Warranties:
The Buyer represents and warrants that they have the financial capability to complete the purchase as outlined in this Agreement.

6. Condition of As is Where is
The Acquisition is sold "as is," without any warranties, express or implied, regarding its condition, performance, or fitness for a particular purpose.

7. Confidentiality
Both parties agree to maintain the confidentiality of all non-public information related to the Acquisition and not to disclose such information to third parties without prior written consent, except as required by law.

8. Limitations on Service and Liability
The Seller shall not be liable for any interruptions, delays, or service outages related to As is Where is following the completion of the Acquisition.

9. Customers' Personal Data
The Buyer agrees to comply with all applicable data protection laws and regulations regarding the handling and protection of customer personal data acquired as part of the Acquisition.

10. Client Warranties
The Seller does not provide any warranties related to the services or products offered to clients through As is Where is, and the Buyer shall assume all responsibilities and liabilities in this regard following the Acquisition.

11. Rewards
Any rewards, incentives, or loyalty programs associated with As is Where is are not guaranteed to continue following the Acquisition, and the Buyer shall have full discretion in this regard.

12. Rewards, Payment, and Communication
a. As is Where is offers 500 pesos as incentives for qualifying entries of submitted properties that meet the standard requirements for acquisition.
b. The price and payment terms are as outlined in Section 2 of this Agreement.
c. Any communication regarding the Acquisition shall be conducted in writing or through other agreed-upon means of communication between the Buyer and Seller.
e. The Corporation may communicate with Customers through various channels, including email, phone, or the Platform, for purposes related to the services provided.

13. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines.
Any and all actions arising under this Agreement shall be brought exclusively before the competent courts of Pasig City, to the exclusion of all other courts.

14. About the Platform
As is Where is Acquisition provides Customers with a convenient platform for the submission of property listings for sale.
Customers have the option to submit either house and lot or lot-only properties, which will be evaluated using technological methods.
As is Where is offers competitive rates based on market conditions and property value, ensuring customer satisfaction.
